Fill My Slot – Terms of Service

Fill My Slot is operated by Phoenix Umbrella Commerce Ltd, a company registered in Scotland, United Kingdom (Company No. SC800625) (“Fill My Slot”, “we”, “our”, or “us”).
These Terms of Service (“Terms”) govern your access to and use of the Fill My Slot website, applications, and related services (the “Service”).
By creating an account, subscribing, or using the Service, you agree to these Terms. If you do not agree, please do not use Fill My Slot.
1. What Fill My Slot Does
Fill My Slot is an availability, promotional, and booking-enquiry platform that allows entertainers, performers, venues, and service providers to:
- create profiles and promotional show pages
- share and manage availability diaries
- receive booking enquiries and proposals
- connect directly with potential clients
- keep booking conversations and availability information organised
Fill My Slot does not:
- act as an agent or broker
- arrange, guarantee, or underwrite bookings
- process payments between artists, venues, or bookers
- manage contracts between users
- guarantee income, leads, enquiries, bookings, or work
All agreements, negotiations, payments, contracts, and performance arrangements are made directly between users.
2. Eligibility
You must:
- be at least 18 years old
- provide accurate information
- use the Service legally
- have authority to act for any business, venue, act, or organisation you represent
You are responsible for all activity under your account.
3. Accounts
You agree to:
- keep login details secure
- keep your information accurate and up to date
- not share, transfer, or resell accounts
- not impersonate others
- not create misleading profiles, shows, listings, or availability information
We may suspend or terminate accounts that violate these Terms.
4. Subscriptions, In-App Purchases & Payments
Some features require a paid subscription or paid plan.
Subscriptions may be purchased through different payment routes, including:
- Apple in-app purchases
- Google Play in-app purchases
- web payments processed by Stripe or another payment provider
By subscribing, you agree that:
- fees are billed in advance
- subscriptions renew automatically unless cancelled
- cancellation takes effect at the end of the current billing period unless the relevant payment provider states otherwise
- access to paid features may continue until the paid period ends
- partial refunds are not provided by Fill My Slot unless required by law
- pricing, available plans, billing cycles, and promotional offers may differ between web, Apple, and Google purchase routes
If you subscribe through Apple or Google, your purchase, renewal, cancellation, refund request, and billing management are handled by your Apple App Store or Google Play account under their applicable terms and policies.
A subscription or premium entitlement is linked to the Fill My Slot account used when the purchase or subscription is activated. Restoring a purchase is intended to restore access for that same Fill My Slot account only. Subscriptions, purchases, and premium entitlements are not transferable between different Fill My Slot accounts unless we expressly support or approve this.
If you subscribe through the web, payment processing and subscription management may be handled by Stripe or another third-party payment provider.
You are responsible for cancelling your subscription through the same provider or platform where you purchased it, unless we provide another supported cancellation route.
We may change pricing or plan features with reasonable notice where required.
5. User Content
You retain ownership of the content you upload, including text, images, availability, diary information, show pages, promotional material, and media.
By uploading content, you grant us permission to host, display, distribute, process, and promote that content as necessary to operate, improve, and market the Service.
You are responsible for ensuring your content:
- is lawful and accurate
- does not infringe intellectual property, privacy, publicity, or trademark rights
- does not contain content you do not have permission to use
- does not mislead bookers, venues, artists, or other users
- is not harmful, abusive, fraudulent, defamatory, or unlawful
We may remove content at our discretion.
6. Bookings & Agreements Between Users
Fill My Slot only provides tools for connection, visibility, availability, and communication.
We are not responsible for:
- cancelled bookings
- no-shows
- payment disputes
- contract disagreements
- lost income
- miscommunication between users
- the quality, safety, legality, or suitability of any performance, venue, event, or booking
Any agreement is strictly between the parties involved.
Fill My Slot does not take commission from bookings. Booking terms, deposits, balances, refunds, cancellations, performance requirements, insurance, licences, and any other booking conditions are agreed directly between the relevant users.
7. Diaries, Availability & Verification
Availability is a core part of the Service.
If you use diary or availability features, you are responsible for keeping your diary accurate and up to date.
Diary verification is a confirmation that your diary is current. Verification may expire after a set period. If your diary verification expires, your availability may be treated as untrusted, hidden, reduced in visibility, or excluded from availability-based search results.
Fill My Slot may use diary entries, verification status, booking times, unavailable periods, and related availability information to:
- prevent users appearing available when they have a conflicting diary entry
- power availability search and booking tools
- display public availability widgets where enabled
- support booking proposals and diary conflict checks
- improve the reliability of the Service
You should not rely on Fill My Slot as your only record of bookings, commitments, events, or availability.
8. Private Gigs & Public Visibility
Artists may be able to mark diary entries as private.
A private gig may be hidden from public areas such as Upcoming Gigs sections, but it can still be used internally by Fill My Slot to block availability, detect conflicts, and prevent misleading availability results.
Artists may also be able to choose whether a public availability widget appears on their profile and show pages. Turning off a public widget hides that widget publicly, but does not necessarily stop Fill My Slot from using diary information internally for availability, conflict, or booking-related features.
9. Service Notifications
Fill My Slot may send service-related notifications, including messages, booking proposals, booking updates, diary verification reminders, account notices, security notices, and important service information.
Notifications may be sent through the app, email, push notifications, or other supported channels.
You can manage device-level push notification permissions through your device settings. Some important account, billing, legal, or security notices may still be sent where necessary.
10. Availability & Service Performance
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates, third-party outages, or technical issues may cause downtime.
The Service is provided “as is” and “as available.”
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, non-infringement, and uninterrupted availability.
11. Data Loss & Backups
While we use reputable cloud providers and take reasonable steps to protect your data, no online service can guarantee that information will never be lost, corrupted, delayed, or unavailable.
You are responsible for keeping your own copies or records of important information, including bookings, schedules, contracts, payments, contacts, and messages.
Fill My Slot is not liable for lost data, missed bookings, or any resulting losses.
12. Acceptable Use
You agree not to:
- spam, harass, threaten, or abuse others
- upload illegal, harmful, misleading, or infringing content
- scrape, copy, or misuse the platform
- attempt to disrupt, hack, reverse-engineer, or bypass the Service
- misuse the platform for fraud or unlawful purposes
- use the Service to misrepresent availability, identity, services, pricing, or booking terms
We may suspend or terminate accounts that breach these rules.
13. Intellectual Property
All software, branding, design, and platform features belong to Fill My Slot or its licensors.
You may not copy, resell, reverse-engineer, or exploit the Service without permission.
14. Third-Party Services
The Service may rely on third-party providers for hosting, authentication, payments, app distribution, analytics, notifications, infrastructure, maps, storage, and other functionality.
These providers may include Apple, Google, Stripe, Supabase, Vercel, Firebase, RevenueCat, or similar providers.
We are not responsible for outages, billing issues, review delays, policy decisions, or service interruptions caused by third-party providers.
15. Termination
You may delete your account at any time.
We may suspend or terminate accounts if:
- these Terms are breached
- misuse occurs
- required by law
- continued access creates risk for users, the Service, or third parties
Certain provisions, including liability limits, payment obligations, indemnities, ownership rights, and provisions concerning bookings between users, survive termination.
16. Indemnification
You agree to indemnify and hold Fill My Slot harmless from any claims, damages, losses, liabilities, or costs (including legal fees) arising from:
- your use of the Service
- your content
- your bookings or agreements with other users
- your events, performances, venues, services, or business activities
- your breach of these Terms
- your infringement of third-party rights
17. Limitation of Liability
To the fullest extent permitted by law, Fill My Slot is not liable for:
- loss of profits
- lost bookings or opportunities
- business interruption
- data loss
- indirect or consequential damages
- disputes between users
- reliance on inaccurate, outdated, or incomplete user-provided information
Our total liability is limited to the amount you paid us in the previous 12 months.
Nothing excludes liability that cannot legally be excluded under UK law.
18. Changes to the Service
We may modify, update, suspend, or discontinue features at any time.
We may update these Terms occasionally. Continued use of the Service means you accept any updates.
19. Privacy
Your use of the Service is also governed by our Privacy Policy.
20. Governing Law
These Terms are governed by the laws of Scotland.
Any disputes will be subject to the exclusive jurisdiction of the Scottish courts.
